    • A contract is an agreement between two or more persons, which creates an obligation to do or not to do a particular thing.  When one person fails to perform or breaches that obligation, the contract itself and /or the law will provide a remedy.  A legal relationship exists between parties, consisting of rights and duties which the law recognizes as binding agreement, which then gives each party a legal duty to the other.  When one person violates that duty or obligation, a legal right arises to seek a remedy for the breach of those duties.

  • Contract action for breach of express agreement not to compete, usually a former employer or party to the sale of a business, assets, or stock.  The covenant is commonly a component of a larger transaction such as for employment, independent contracting, consulting or sales, or sale of a business.  Covenants between employer and employee are subject to statutory regulation under the Michigan Antitrust Reform Act (MARA).
